company registration number: 09-09-025522; tax number: 24812087-2-09)<\/p><ol start=\"2\"><li><h6><strong>DEFINITIONS<\/strong><\/h6><\/li><\/ol><p>The key terms used in these GTC shall be interpreted in accordance with the definitions set forth in\u00a0<strong>Government Decree No. 45\/2014 (II.26.), Government Decree No. 373\/2021 (VI.30.),<\/strong>and\u00a0<strong>Government Decree 373\/2021 (VI.30.)<\/strong>The definitions include, among others: Parties, Consumer, Consumer contract, Distance contract, Contract for the provision of services, Business, Buyer\/Customer, Guarantee, Digital service, Digital content, (Goods containing digital elements), Functionality, Manufacturer, Interoperability, Compatibility, Durable medium, Purchase price, Digital environment, Integration.<\/p><p>The Service Provider primarily sells to private individuals.<\/p><ol start=\"3\"><li><h6><strong>GOVERNING LEGISLATION<\/strong><\/h6><\/li><\/ol><p>The contract shall be governed by Hungarian law, in particular the following legal acts:<\/p><ul><li><strong>Act CLV of 1997<\/strong>\u00a0on Consumer Protection<\/li><li><strong>Act CVIII of 2001<\/strong>\u00a0on Electronic Commerce and on Certain Issues of Information Society Services<\/li><li><strong>Act V of 2013<\/strong>\u00a0on the Civil Code (Ptk.)<\/li><li>Government Decree 151\/2003 (IX.22.) on Mandatory Warranty for Durable Consumer Goods<\/li><li>Government Decree 45\/2014 (II.26.) on the Detailed Rules of Contracts between Consumers and Businesses<\/li><li>NGM Decree 19\/2014 (IV.29.) on the Procedural Rules for Handling Warranty and Guarantee Claims in Contracts between Consumers and Businesses<\/li><li><strong>Act LXXVI of 1999<\/strong>\u00a0on Copyright<\/li><li><strong>Act CXII of 2011<\/strong>\u00a0on the Right of Informational Self-Determination and Freedom of Information (Infotv.)<\/li><li><strong>Regulation (EU) 2018\/302 of the European Parliament and of the Council<\/strong>\u00a0of 28 February 2018 on addressing unjustified geo-blocking and other forms of discrimination based on customers\u2019 nationality, place of residence or place of establishment<\/li><li><strong>Regulation (EU) 2016\/679 of the European Parliament and of the Council (GDPR)<\/strong>\u00a0of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data<\/li><li><strong>Government Decree 373\/2021 (VI.30.) <\/strong>on contracts for the sale of goods, and for the supply of digital content and digital services between consumers and businesses.<\/li><\/ul><ol start=\"4\"><li><h6><strong>SCOPE OF THE GTC AND FORM OF CONTRACT<\/strong><\/h6><\/li><\/ol><p>The content of the contract concluded between the Parties shall be determined \u2014 in addition to the mandatory provisions of applicable law \u2014 by the present GTC.<\/p><p>Technical information necessary for the use of the Website, not included in these GTC, is provided in other informational materials available on the Website.<\/p><p>Before finalizing an order, the Buyer is obliged to familiarize themselves with the provisions of the present GTC.<\/p><p><strong>Language and form of the contract:<\/strong><br \/>By purchasing goods or services, the Parties conclude a contract in Hungarian. \nThe contract shall be deemed a written contract, recorded and retained by the Service Provider for a period of\u202f5 years following its conclusion. \n\nThis English version of the General Terms and Conditions is provided for information purposes only. \nIn the event of any discrepancy or dispute between the Hungarian and the English versions,\u202fthe Hungarian version shall prevail\u202fand shall be legally binding.<\/p><p><strong>E-invoicing:<\/strong><br \/>The Service Provider issues electronic invoices in accordance with Section 175 of Act CXXVII of 2007 on Value Added Tax. \nBy accepting these GTC, the Buyer expressly consents to the use of electronic invoicing.<\/p><p><strong>\u00a0<\/strong><\/p><ol start=\"5\"><li><h6><strong>PRICES AND INVOICING<\/strong><\/h6><\/li><\/ol><p>All prices are indicated in\u00a0<strong>Hungarian Forints (HUF).<\/strong>\u00a0The Service Provider is\u00a0<strong>exempt from VAT<\/strong>\u00a0under the relevant provisions of the Hungarian VAT Act (AAM \u2013 alanyi ad\u00f3mentes), therefore prices\u202f\u00a0<strong>do not include VAT<\/strong>. The Service Provider reserves the right to modify prices; any modification shall not affect contracts already concluded. \nIn the event of an obviously erroneous price, the provisions under the section \u201cErroneous Price\u201d shall apply.<\/p><ol start=\"6\"><li><h6><strong>COPYRIGHT<\/strong><\/h6><\/li><\/ol><p>The Website and all purchasable\u202fe-books\u202fand\u202fdigital learning materials\u202fare protected by copyright under Act LXXVI of 1999 on Copyright. \nBy paying the subscription or purchase fee, the Buyer acquires a\u202f\u00a0<strong>non-exclusive right of use<\/strong>\u00a0limited to\u202fpersonal, non-commercial viewing, without any geographical restriction, for the duration covered by the fee. \n\nIt is\u202fstrictly prohibited\u202fto reproduce, distribute, forward, share with third parties, or use the content for any commercial purpose.<\/p><ol start=\"7\"><li><h6><strong> TECHNICAL OPERATION AND DATA SECURITY (SHORT NOTICE)<\/strong><\/h6><\/li><\/ol><p>The Website is hosted on the infrastructure of the hosting provider. \nRegular backups and access protection are applied. \nThe Service Provider acts in full compliance with the GDPR and the Hungarian Information Act (Infotv.). \n\nDetailed data management rules are available in the\u00a0<strong>Privacy Policy<\/strong>\u00a0published on the Website.<\/p><ol start=\"8\"><li><h6><strong> INFORMATION ON THE ESSENTIAL CHARACTERISTICS OF SERVICES AND PRODUCTS<\/strong><\/h6><\/li><\/ol><p>The essential features of the available\u202f\u00a0<strong>e-books, digital materials, consultations, and programs<\/strong>\u00a0are described on the relevant product\/service pages.<\/p><p><strong>Liability and rules related to consultations, e-books, and online materials<\/strong><\/p><p>The Service Provider undertakes to:<\/p><ul><li>ensure the accessibility of the Website;<\/li><li>prepare all e-books, online materials, and consultations with the highest professional care and expertise.<\/li><\/ul><p><strong>The Service Provider\u202fshall not be liable\u202ffor:<\/strong><\/p><ul><li>improper operation of the Buyer\u2019s internet browser;<\/li><li>the Buyer\u2019s inability to access the Website due to their internet service provider\u2019s fault;<\/li><li>misuse of the Website by the Buyer;<\/li><li>any consequences resulting from how the Buyer uses the acquired knowledge or information;<\/li><li>prior purchases or orders made by the Buyer;<\/li><li>any consequences arising from the Buyer\u2019s application of the information provided.<\/li><\/ul><p>The Service Provider informs Buyers that the provided services\u202fdo not constitute medical services.<\/p><p>The Buyer must not use the service as a substitute for medical treatment. \nIf the Service Provider deems that the Buyer requires medical attention for any reason, they will notify the Buyer and may\u202fsuspend service provision. \nIn cases of undisclosed illnesses or conditions,\u202fno refund\u202fshall be provided. \n\nThe Buyer is obliged to complete and return the questionnaire required for service provision\u202fwithin 2 weeks.<\/p><p>Failure to do so entitles the Service Provider to terminate the contract\u202fwithout refund\u202fof the paid fee. \n\nFollowing the submission of the Buyer\u2019s documentation, the consultation will be held within\u202f1\u20132 weeks, and the Service Provider will deliver the personalized materials within\u202f1 week\u202fafter the consultation.<\/p><p>The duration of each program starts on the date of the first consultation: \n\n\u201cBalanced Lifestyle Program\u201d: 4 weeks from the first consultation, \n\n\u201cSpecial Lifestyle Program\u201d: 8 weeks from the first consultation. \n\nIf the program includes recurring consultations, these can only be used\u202fwithin the duration of the program, as specified in the program description. \nIf the Buyer fails to attend or cancels a scheduled consultation\u202fless than 48 hours\u202fbefore the agreed time, that consultation is considered\u202fcompleted\u202fand will reduce the number of available sessions in the program.<\/p><p><strong>The Buyer uses the Website and materials\u202fat their own risk,<\/strong>\u00a0acknowledging that the Service Provider shall not be liable for any material or non-material damages arising from such use, except for damages resulting from intentional misconduct or breaches causing harm to life, bodily integrity, or health.<\/p><ol start=\"9\"><li><h6><strong>PURCHASE AND CONTRACTING PROCESS<\/strong><\/h6><\/li><\/ol><p>The online store serves\u202fprivate individuals only.<\/p><p><strong>Website use<\/strong><\/p><ul><li>No registration is required for purchase.<\/li><li>The Buyer may order e-books, consultations, and predefined programs via the Website.<\/li><li>The Service Provider shall not be liable for damages arising from forgotten login credentials or from unauthorized access caused by reasons not attributable to the Service Provider.<\/li><li>The purchase process differs depending on whether the item is an e-book or a program\/consultation.<\/li><\/ul><p><strong>Order Process for E-books<\/strong><\/p><p>The list of available e-books can be accessed by clicking the \u201cE-book\u201d menu item.<\/p><p>The Buyer can add an e-book to the cart immediately by clicking\u202f\u201cAdd to cart\u201d, or read more details before adding it.<\/p><p>The cart can be viewed by clicking the\u202fcart icon\u202fin the top right corner of the Website.<\/p><p>Within the cart, the Buyer can delete items and update the cart using the\u202f\u201cUpdate cart\u201d\u202fbutton.<\/p><p>The purchase process continues by clicking\u202f\u201cProceed to checkout\u201d. \nThe Buyer must fill in the required data and click\u202f\u201cPlace order\u201d\u202fto submit the order.<\/p><p><strong>Order Process for Programs and Consultations<\/strong><\/p><p>For Programs and Consultations, the Website allows only\u202fpreliminary inquiries via e-mail. \nBased on the inquiry, the Service Provider contacts the Buyer to discuss the details. \nAfter clarification, the Service Provider sends a\u202fpro forma invoice\u202fto the Buyer via e-mail.<\/p><p>The contract is concluded upon the\u202fpayment of the pro forma invoice\u202fby the Buyer.<\/p><ol start=\"10\"><li><h6><strong> ORDER PROCESSING, CONCLUSION OF CONTRACT, AND PAYMENT METHODS<\/strong><\/h6><\/li><\/ol><p>For\u202fe-book purchases, successful online payment by bank card is confirmed immediately, and the purchased e-book becomes accessible to the Buyer at once. \nIf the Buyer pays via\u202fbank transfer, the e-book will be sent within\u202f24 hours\u202fafter the amount has been credited to the Service Provider\u2019s account.<\/p><p>For\u202fprograms and consultations, following the Buyer\u2019s inquiry email, the Service Provider contacts the Buyer to clarify details, then issues a\u202fpro forma invoice\u202fvia email. \nThe contract between the Parties is concluded upon\u202fpayment of the pro forma invoice.<\/p><p>Online payments are processed by\u202fBarion Payment Zrt.\u202f\u00a0<strong>(MNB license number: H-ENI-1064\/2013).<\/strong>The Service Provider does\u202fnot\u202fhandle or store bank card data.<\/p><h6><strong>11. PERFORMANCE, DELIVERY \/ ACCESS<\/strong><\/h6><p>For e-books, there is\u202f\u00a0<strong>no physical delivery;<\/strong>delivery occurs electronically. \nThe general performance deadline is\u00a0<strong>up to 5 days<\/strong>\u00a0from order confirmation (e-books are typically delivered immediately).<\/p><p>The Seller may withhold the digital product until it verifies successful payment. \nIf payment was made in a foreign currency and exchange rates or bank fees result in an incomplete transfer, the Seller may request\u202fsupplementary payment\u202ffrom the Buyer before releasing the product.<\/p><ol start=\"12\"><li><h6><strong> SALES OUTSIDE HUNGARY<\/strong><\/h6><\/li><\/ol><p>The Seller does not discriminate between customers from Hungary and those from other EU member states.<\/p><p>Unless otherwise stated, services and products are provided within the territory of Hungary. \n\nThese GTC also apply to purchases made from outside Hungary.<\/p><p>Under the relevant EU regulations, a \u201cBuyer\u201d includes any consumer who is a citizen or resident of an EU member state, or a business established in an EU member state purchasing goods or services for\u202fend-use purposes.<\/p><p>Consumer definition:\u202fa natural person acting for purposes outside their trade, business, craft, or profession.<\/p><p>Communication and contracting are primarily conducted in\u202fHungarian\u202f(with English available as a secondary option).<\/p><p>The Seller is not obliged to communicate in the Buyer\u2019s national language or comply with any national legal labelling or sectoral requirements of the Buyer\u2019s country.<\/p><p>Payment for electronic transactions is made in the currency specified by the Seller.<\/p><p>If the payment received is incomplete due to currency conversion or banking costs, the Seller may request the Buyer to pay the\u202foutstanding balance.<\/p><p>The Seller provides non-Hungarian Buyers with the same access and delivery options as Hungarian customers.<\/p><p>If the Buyer fails to pay the due amount by the agreed date, the Seller is entitled to\u202fterminate the contract\u202fand\u202frefund any prepaid fees.<\/p><ol start=\"13\"><li><h6><strong> LIABILITY RULES<\/strong><\/h6><\/li><\/ol><p>The Service Provider is not responsible for issues or damages resulting from:<\/p><p>- erroneous or inaccurate data provided by the Buyer during ordering,\n\n- unauthorized access to purchased digital materials for reasons not attributable to the Service Provider, \n\n- recurring non-compliance with these GTC by the Buyer, \n\n- or any damages arising from technical failures of the internet, communication devices, or software.<\/p><p>Using the Website implies that the Buyer understands and accepts the\u202flimitations and risks of the Internet, and is responsible for the\u202fsecurity of their own device and data.<\/p><p>By placing an order, each Buyer declares that they have\u202fread, understood, and accepted\u202fthese GTC, and that they are\u202flegally competent\u202fto enter into the contract.<\/p><p>Payments can only be made using the payment methods listed on the Website.<\/p><p>The Service Provider does not accept responsibility for payments made through unlisted or unofficial channels.<\/p><ol start=\"14\"><li><h6><strong> RIGHT OF WITHDRAWAL AND TERMINATION<\/strong><\/h6><\/li><\/ol><p><strong>14.1. E-books and Other Digital Content Provided on Non-Tangible Media<\/strong><\/p><p>According to\u00a0<strong>Section 29(1)(m) of Government Decree 45\/2014 (II.26.),<\/strong>\u00a0the\u202f\u00a0<strong>Consumer has no right of withdrawal\u202f<\/strong>\u00a0once the Service Provider has begun performance with the Consumer\u2019s\u202f\u00a0<strong>explicit prior consent,<\/strong>\u00a0and the Consumer has\u202f\u00a0<strong>acknowledged the loss of the right of withdrawal\u202f<\/strong>\u00a0upon performance.\u00a0<strong>When<\/strong>\u00a0purchasing an\u00a0<strong>e-book<\/strong>\u00a0, the <strong>Buyer<\/strong>\u00a0explicitly consents to immediate performance and acknowledges that they\u00a0<strong>lose the right of withdrawal upon download\/access.<\/strong>.<\/p><p><strong>14.2. Services (Consultations and Programs)<\/strong><\/p><p>The Consumer is entitled to\u202f\u00a0<strong>withdraw from or terminate\u202f<\/strong>\u00a0the contract within\u00a0<strong>14 days<\/strong>\u00a0from its conclusion, in accordance with Government Decree 45\/2014 (II.26.).<\/p><p>The service is deemed to have commenced when the Buyer returns the necessary documents (e.g., questionnaire, dietary log) and the Service Provider confirms receipt via email. \nThe submission of documents constitutes an\u202fexplicit request\u202fby the Buyer to begin performance within the 14-day period.<\/p><p>Termination after commencement: \nIf the Buyer exercises their right of termination within 14 days\u202fafter performance has begun, they must pay a\u202fproportionate amount\u202fcorresponding to the value of services already provided.<\/p><p>This includes (in particular): preliminary assessment and administration, professional analysis of submitted materials, preparation of individual recommendations, and held consultations. \nThe Service Provider provides a transparent calculation of the proportionate fee.<\/p><p>Exclusion of termination after completion:\u00a0<em>The Buyer may not terminate the contract once the service has been\u202ffully performed\u202fwith their explicit consent and acknowledgment that the right of termination is lost upon full completion. \n\nPractical note for consent: \nDuring the ordering process, the Buyer explicitly declares: \n\n\u201cI request that the service begins within the 14-day withdrawal period. \nI acknowledge that if I terminate after commencement, I am required to pay a proportionate fee, and that upon full completion of the service, my right of termination ceases.\u201d<\/em><\/p><p><strong>14.3. Cancellation of Appointments<\/strong><\/p><p>If the Buyer cancels a scheduled consultation\u202fwithin 48 hours\u202fbefore the agreed time or fails to attend, the session is considered\u202fcompleted. \nIn multi-session programs, the total number of remaining sessions is reduced accordingly.<\/p><p><strong>14.4. Exercising the Right of Withdrawal or Termination<\/strong><\/p><p>The Buyer may submit a withdrawal or termination notice on a\u202fdurable medium\u202f(e.g., email) to\u202fhello@nutrisoul.hu. \nThe Service Provider confirms receipt of such notice. \n\nA sample\u202fwithdrawal\/termination form\u202fis included as\u202fAnnex 1\u202fto these GTC.<\/p><ol start=\"15\"><li><h6><strong> WARRANTY AND LIABILITY FOR DEFECTS<\/strong><\/h6><\/li><\/ol><p><strong>15.1. Warranty<\/strong><\/p><p>The services offered by the Service Provider are\u202fnot subject to any mandatory statutory warranty.<\/p><p><strong>15.2.
